TERMS & CONDITIONS (EULA)**

These Terms & Conditions (“Terms”) govern your use of the Adptive Care™ mobile application (“App”), provided by Adptive LLC, doing business as Adptive Care™ Products and Solutions (“Adptive,” “we,” “us,” or “our”).

By downloading, accessing, or using the App, you agree to be bound by these Terms.

If you do not agree, you must not use the App.

1. About the App

The Adptive Care™ App provides:

• AI-supported educational guidance
• Exercise explanations and cues
• Provider-assigned exercise flows
• Client feedback tools
• Adherence tracking
• Non-diagnostic insights

The App is intended to support provider-managed physical therapy programs, not replace them.

2. Not Medical Advice

The App:

• does not diagnose conditions
• does not prescribe treatment
• does not modify exercise programs without a licensed provider
• does not function as a medical device

AI responses are informational and educational only.

All clinical decisions, exercise progressions, regressions, and safety determinations are the sole responsibility of licensed healthcare providers using the App as part of their workflow.

Always consult your provider for medical advice.

3. Provider Oversight & Assignment of Exercises

Providers using the Adptive Care™ platform may:

• assign exercises
• adjust difficulty
• review client responses
• provide clinical guidance

Adptive LLC:

• does not approve or review provider-created exercise programs
• does not verify clinical appropriateness
• does not supervise execution or safety
• is not responsible for injuries or outcomes related to provider programming

All exercise programs delivered through the App are provider-created and used at your own risk.

4. User Responsibilities

By using the App, you agree to:

• provide accurate responses and feedback
• follow provider instructions
• discontinue exercises that cause pain or concern
• use the App only for lawful purposes
• maintain the confidentiality of your account credentials
• not misuse, reverse-engineer, or disrupt the App

5. AI Guidance & Limitations

The App includes AI technology to:

• answer exercise-related questions
• provide educational cues
• explain form, setup, or goals
• support adherence

AI does not:

• make clinical decisions
• override providers
• determine injury risk
• give medical diagnoses
• change your exercise plan automatically

AI suggestions are not a substitute for clinical judgment.

6. Data Use, Feedback, and Aggregated Learning

The App may collect:

• exercise responses
• subjective feedback
• non-diagnostic sensations
• app interaction data
• usage analytics

This data is used to:

• deliver features
• support provider workflows
• troubleshoot issues
• improve App performance
• generate anonymized insights
• enhance system-wide learning models

No identifiable data is used in aggregated analysis.

Data used to identify trends or optimize care is stripped of personal identifiers.

A separate Mobile App Privacy Policy governs all data practices.

7. HIPAA & Regulatory Notice

The App may be used by providers who are HIPAA-covered entities.

However:

Adptive LLC is not acting as a HIPAA-covered entity or business associate unless a separate Business Associate Agreement (BAA) is executed with a provider organization.

The App uses HIPAA-compatible safeguards, but being HIPAA-compatible does not imply HIPAA compliance unless a BAA is in place.

Your provider—not Adptive—is responsible for regulatory compliance regarding PHI.

8. Subscription & Payment Terms

If the App offers paid features, subscription services, or in-app purchases:

• All billing is handled through Apple’s App Store
• Fees, renewal terms, and cancellation policies are governed by Apple
• We do not collect or store payment information

You are responsible for canceling subscriptions through your App Store account.

9. Intellectual Property

The App and all associated content—including text, design, exercise descriptions, graphics, videos, logos, and AI-generated explanations—are owned by Adptive LLC or licensed third parties.

You may not:

• copy
• modify
• distribute
• sell
• reverse-engineer

any part of the App without written permission.

Trademarks—including Adptive Care™—identify our software and services.

10. Third-Party Content & Integrations

The App may incorporate:

• analytics services
• error reporting tools
• optional provider integrations

We are not responsible for third-party services, content, data usage, or downtime.

11. Disclaimer of Warranties

The App is provided “as is” and “as available.”

We do not warrant that:

• the App will always function without interruption
• content provided is always accurate or complete
• AI outputs will be error-free
• the App is compatible with all devices
• the App will be free of viruses or harmful components

Use of the App is at your own risk.

12. Limitation of Liability

To the fullest extent permitted by law, Adptive LLC is not liable for any:

• injuries related to exercise participation
• outcomes resulting from provider-created programs
• misuse of the App
• indirect or consequential damages
• loss of data or unauthorized access
• reliance on AI-generated content

If liability cannot legally be excluded, it will be limited to the maximum extent allowed under applicable law.

13. Indemnification

You agree to indemnify and hold harmless Adptive LLC, its employees, officers, and partners from claims arising out of:

• misuse of the App
• violation of these Terms
• injuries during exercise programs
• reliance on AI guidance
• activities directed by providers

14. Termination

We may terminate or suspend your account or access to the App at our discretion for:

• violating these Terms
• security concerns
• misuse or abuse of the platform
• legal or regulatory obligations

You may stop using the App at any time.

15. App-Specific Policies Separate From Website Policies

These Terms govern only the use of the Adptive Care™ mobile application.

The Website (https://adptive.ai) has its own separate Terms & Conditions and Privacy Policy, which do not apply to the App.

16. Governing Law

These Terms are governed by the laws of the State of Nebraska, without regard to conflict-of-law principles.
